1. Acceptance of Terms

By accessing and using the services provided by NET ENGINEERS INC. ("Company," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms constitute a legally binding agreement between you and NET ENGINEERS INC. regarding your use of our services, including our website, IT support services, and any other services we provide.

2. Description of Services

NET ENGINEERS INC. provides information technology services including, but not limited to:

  • Managed IT services and support
  • Cybersecurity solutions and assessments
  • Network infrastructure design, installation, and maintenance
  • Cloud telephony and VoIP systems
  • Data backup and disaster recovery services
  • Technical support and help desk services
  • IT consulting and project-based work
  • Hardware and software sales and procurement

The specific scope of services provided to you will be outlined in a separate service agreement or statement of work.

3. Eligibility

By using our services, you represent that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into a binding agreement
  • If you are acting on behalf of an organization, you have the authority to bind that organization to these Terms
  • You will comply with all applicable laws and regulations in your use of our services

4. User Responsibilities

As a client of our services, you agree to:

  • Provide accurate and complete information as requested
  • Maintain the security and confidentiality of any login credentials or access information we provide
  • Notify us promptly of any unauthorized access or security breaches
  • Ensure that your use of our services complies with all applicable laws
  • Make timely payments for services rendered as agreed
  • Cooperate reasonably with us in the delivery of services
  • Maintain appropriate backups of your data as part of a comprehensive data protection strategy

5. Prohibited Uses

You may not use our services:

6. Intellectual Property

All content, features, and functionality on our website, including but not limited to text, graphics, logos, icons, and software, are the exclusive property of NET ENGINEERS INC. and are protected by copyright, trademark, and other intellectual property laws.

Any tools, methodologies, or proprietary systems we use to deliver services remain our property. Client data and any custom work specifically created for you as part of our services remain your property, subject to our rights to retain copies for service continuity and backup purposes.

7. Payment Terms

Payment terms will be specified in your service agreement. Unless otherwise agreed:

  • Managed services are billed monthly in advance
  • Project work is billed according to the milestones specified in your statement of work
  • Hourly services are billed monthly based on time incurred
  • Hardware and software purchases are due upon delivery

Overdue payments may incur interest charges and may result in suspension of services.

8. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that our services will be uninterrupted, error-free, or completely secure. While we implement industry-standard security measures, no system is completely immune to all security threats.

We do not guarantee specific results from our informational or professional services. The effectiveness of IT solutions depends on many factors beyond our control.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NET ENGINEERS INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability for any claims arising from our services shall not exceed the total amount paid by you for the services giving rise to the claim in the twelve (12) months preceding the claim.

This limitation applies to all claims, whether based on contract, tort, negligence, strict liability, or any other legal theory.

10. Third-Party Services and Links

Our services may involve or link to third-party websites, products, or services. We are not responsible for the content, accuracy, or practices of third parties. Your interactions with third parties are solely between you and that third party.

We may use third-party tools and services as part of our IT solutions. We select such providers carefully but cannot guarantee their performance or availability.

11. Indemnification

You agree to indemnify and hold harmless NET ENGINEERS INC., its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may terminate or suspend your access to our services immediately, without prior notice, if we reasonably believe you have violated these Terms or for any other cause at our sole discretion.

Upon termination, your right to use our services will immediately cease. We will provide reasonable assistance in transitioning your services to another provider upon your request.

Provisions of these Terms that by their nature should survive termination shall remain in effect, including warranty disclaimers, liability limitations, and indemnification obligations.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or our services shall be resolved in the state or federal courts located in Missouri, and you consent to personal jurisdiction in those courts.

14. Dispute Resolution

We encourage you to contact us first to resolve any concerns. If we cannot resolve a dispute informally, either party may pursue binding arbitration in Missouri, in accordance with the rules of the American Arbitration Association.

Each party shall bear its own costs of arbitration. The arbitrator's decision shall be final and binding.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide reasonable notice of material changes by posting the updated Terms on our website or by email notification. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.

17. Entire Agreement

These Terms, together with your service agreement and any other documents incorporated by reference, constitute the entire agreement between you and NET ENGINEERS INC. regarding our services.
